On October 6, 2010, DineEquity, Inc. issued a press release announcing that it had priced its previously disclosed proposed private offering of $825 million aggregate principal amount of its 9.5% senior unsecured notes due 2018. DineEquity, Inc. Announces Pricing of $825 Million of Senior Notes due 2018

GLENDALE, Calif., October 6, 2010 — DineEquity, Inc. (NYSE: DIN), the parent company of Applebee’s Neighborhood Grill & Bar and IHOP Restaurants, today announced that it has priced its previously announced offering of $825 million aggregate principal amount of its 9.5% senior unsecured notes due 2018 (the “Notes”). The Notes will be issued at 100% of their face value. The Notes will be guaranteed by substantially all of DineEquity’s current and future domestic wholly owned subsidiaries. DineEquity expects that the offering will close on October 19, 2010, subject to customary closing conditions.

DineEquity intends to use the net proceeds from the offering, together with the net proceeds from other secured debt financing and cash on hand, to fund the previously announced tender offers and consent solicitation for certain series of its subsidiaries’ outstanding securitization notes, to satisfy and discharge the indentures governing such securitization notes, to redeem, prepay or purchase any of such securitization notes that are not tendered and to redeem some or all of the outstanding shares of its Series A Perpetual Preferred Stock.

The offering will be made only to qualified institutional buyers in reliance on Rule 144A under the Securities Act of 1933, as amended, and outside the United States, only to non-U.S. investors pursuant to Regulation S under the Securities Act. The Notes have not been registered under the Securities Act or the securities laws of any other jurisdiction and may not be offered or sold in the United States absent registration or an applicable exemption from registration requirements.
